Further to the press releases of 30 September 2005, 10 November 2005 and 12 December 2005, Royal BAM Group, Offeror, and AM hereby announce that final agreement has been reached on a recommended public offer for all the issued and outstanding shares and warrants AM by Offeror. The offer document will be available on 22 December 2005.

Interbeton bv – the operating company of Royal BAM Group nv, active outside Europe – has been awarded a joint-venture contract by Woodside Energy Ltd., operator of the North West Shelf Venture, to construct a second LNG loading berth at its onshore gas processing facilities near Karratha on the Australian west coast. The contract amounts to approximately € 60 million, of which Interbeton’s share is half.

Rail contracts valued in excess of EUR 175 million (GBP 115 million) have been awarded to Royal BAM Group’s operating company Edmund Nuttall Ltd by client Network Rail. The larger of the two contracts sees a continuation of the framework agreement that has been operating in the South-East of England since 2001. This EUR 153 million (GBP 100 million) contract which will commence in April 2006 and run for five years provides for the maintenance of structures throughout the region. The well established team based in Crawley, West Sussex has already had to deal with a number of complex projects such as the renewal of ten bridges at Clapham Junction in a 102 hour possession during Easter 2004.

Royal BAM Group and AM confirm that the preparations are well under way for the recommended public offers by Royal BAM Group's group company, Terra Amstel B.V., for all outstanding shares AM for a cash consideration of EUR 10.15 per share and all outstanding warrants AM for a cash consideration of EUR 2.30 per warrant.

Bunnik, Netherlands, 30 November 2005 – Christian Diringer has been appointed Geschäftsführer (managing director) of BAM PPP Deutschland GmbH from 1 November 2005. Mr Diringer was formerly employed by Bilfinger Berger BOT GmbH as Project Director for toll roads in Germany, Central Eastern Europe and Australia. Mr Diringer was heavily involved as Member of the Supervisory Board in the M6, Hungary, and as Managing Director in the Herrentunnel Luebeck, Germany.

Bunnik, Netherlands, 28 November 2005 – The Executive Board of Royal BAM Group nv has appointed R. Vollebregt (43) chairman of the management of BAM Vastgoed bv in Bunnik. Roel Vollebregt has been employed by BAM since 1999 and has been appointed director of BAM Vastgoed in 2004. He succeeds J.H.A. Vaags, who has expressed the wish to accept a position outside the Group as of 1 January 2006.

21 November 2005 - HBG Properties, the national property development arm of HBG UK Ltd, together with Barratt Leeds, have been selected by the Leeds City Council Executive Board as the prime developer for the Leeds International Pool site in Leeds, known as St. Paul’s Quarter. The site, encompassing a total of three acres, has frontages to St. Paul’s Street, Little Queen Street, Castle Street, Lisbon Street and the central motorway (A58(M) and A64(M)). News of this development green light follows last month’s announcement that HBG Properties had acquired the 9 ½ acre Monks Bridge site in Leeds for a major mixed use development.

The proceeds of the Offering will be used to finance the acquisition of AM Wonen, AM Grondbedrijf and the holding company AM nv.

The St Stephens Development is a major city centre retail led mixed scheme incorporating large scale retail units, a major food store, restaurants, a hotel and a new home for the Albermarle Music Centre, as well as three separate service areas and multi-storey car parks.
